Terms and Conditions of Use

Please read these Terms and Conditions of Use (these “Terms”) carefully before accessing, browsing or otherwise using the Procurement Boutique website(s), including procurementboutique.com and its subdomains and any related sites, applications, or services where these Terms are posted or accessible (collectively, the “Site”). Your access to and use of the Site is subject to these Terms, our Privacy Policy, any other policies or guidelines referred to herein and all applicable laws. By accessing and using the Site, you accept these Terms without limitation or qualification. If you do not agree with any part of these Terms, you must not use the Site. Procurement Boutique reserves the right to modify these Terms at any time by posting an updated version on the Site. You should check the Site regularly to stay informed of any modifications. Your continued use of the Site after changes have been made constitutes your acceptance of the modified Terms.

1. Permitted Use of the Site
Subject to these Terms, Procurement Boutique grants you a limited, non-exclusive, non-transferable, non-sublicensable revocable license to access and use the Site for your personal information and non-commercial use only. You agree not to (and not to encourage or assist any third party to):
(a) use the Site in any unlawful manner or in any other manner that could damage, disable, overburden, or impair the Site;
(b) use any “deep-link”, “scraper”, “bot”, “spider”, “crawler” or other automated or manual means or any other means to access the Site, or to collect or scrape the content from the Site, without Procurement Boutique’s express prior written consent;
(c) copy, reproduce, print, store, modify, translate, port, create derivative works of, distribute, commercially exploit, sell, retransmit or otherwise use any Site content in any form or by any means, including for data mining, automated or manual processes, robots or screen-scraping, without Procurement Boutique’s express prior written consent;
(d) introduce any viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful;
(e) reverse assemble, reverse compile, decompile, decrypt, disassemble or otherwise attempt to discover any programming code or any source code used in or with the Site, or otherwise reduce the Site content to human readable form;
(f) remove, obscure or otherwise circumvent any copyright notice, digital watermarks, proprietary indicia or other intellectual property right notices or legends that may appear on, within or in connection with the Site;
(g) upload or transmit material that is libelous, defamatory, false, fraudulent, inaccurate, misleading, deceptive, pornographic or unlawful, or that infringes on Procurement Boutique’s or any third party’s intellectual property or other rights;
(h) impersonate or misrepresent your affiliation with any person or entity;
(i) engage in any commercial activities involving the Site or its content without Procurement Boutique’s express prior written consent;
(j) access the Site by any means other than the publicly accessible interfaces provided by Procurement Boutique;
(k) attempt to gain unauthorized access to any accounts, computer systems or networks connected to the Site through hacking, password or data mining, or any other unauthorized means; or
(l) interfere with or disrupt access to or use of the Site by others, our sponsors or affiliates, or host, transmit or facilitate the transmission of worms, viruses, Trojan horses, time bombs, cancelbots or other computer programming routines that may damage, confidentially compromise, monitor, reverse engineer or systematically retrieve or scrape the Site or any content, or interfere with or disrupt servers or networks connected to the Site.

2. Proprietary Rights
The Site, including all content, functions, services and information made available on or accessed through the Site (collectively, “Site Content”), is protected under United States, Armenian and international copyright, trademark and other laws. All Site Content is the property of Procurement Boutique or its licensors and is protected pursuant to Armenian intellectual property laws, including the Law of the Republic of Armenia “On Copyright and Related Rights” and “On Trademarks.” Procurement Boutique, its licensors and its suppliers reserve all rights not expressly granted herein. Nothing on the Site shall be construed as conferring any license under any of Procurement Boutique’s or any third party’s intellectual property rights, whether by estoppel, implication or otherwise. You will not assert any such rights and will not support or participate in any third party in asserting any such rights, except with the prior written consent of Procurement Boutique’s owner of such right.

3. User Content
The Site may contain message boards, chat rooms, forums, blogs, social networking tools or other interactive features that allow you to post, submit, upload or otherwise communicate with other users or with us content generated by you (each, a “User Submission”). Procurement Boutique does not control User Submissions and does not endorse any User Submission. You understand that when using the Site you will be exposed to User Submissions from a variety of sources and acknowledge that User Submissions may contain inaccuracies or offensive, objectionable, illegal or otherwise inappropriate material. Procurement Boutique assumes no responsibility for the conduct of any user submitting any User Submission, or for any User Submission.
You represent and warrant that: (a) you own or have the necessary licenses, rights, consents and permissions to use and authorize Procurement Boutique to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable use and distribution thereof as contemplated by these Terms and the Site; and (b) your User Submissions do not and shall not infringe, violate or misappropriate any third-party rights, including any intellectual property or privacy rights.
By submitting any User Submission to Procurement Boutique or the Site, you automatically grant (or warrant that the owner of such User Submission has expressly granted) Procurement Boutique a perpetual, worldwide, irrevocable, royalty-free, non-exclusive, transferable, unlimited license to use, reproduce, distribute, create derivative works of, modify, publicly perform, publicly display, market, advertise, sublicense and commercially exploit such User Submission and any names, likenesses or other personal identifying information contained therein, in any media formats and through any media channels, without compensation of any kind. You also grant each Site user a non-exclusive license to access your User Submissions through the Site, and to use, reproduce, distribute, prepare derivative works of, display and perform such User Submissions solely for personal, non-commercial use.
You acknowledge and agree that: (a) you have no expectation of compensation or other remuneration for any User Submission; (b) Procurement Boutique does not guarantee that it will use, display, or distribute any User Submission; (c) all User Submissions are non-confidential and non-proprietary; (d) Procurement Boutique may or may not (in its sole discretion) pre-screen User Submissions and monitor the Site for compliance with these Terms and applicable law; and (e) Procurement Boutique has the right (but not the obligation) in its sole discretion to refuse, edit, remove, delete or disable access to any User Submission at any time, without notice and for any reason.

4. Disclaimer of Warranties
THE SITE AND SITE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE, NON-INFRINGEMENT OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE FOREGOING, TO THE FULLEST EXTENT PERMITTED BY LAW, PROCUREMENT BOUTIQUE DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, FOR THE SITE AND SITE CONTENT, INCLUDING BUT NOT LIMITED TO THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SITE CONTENT IS ACCURATE, RELIABLE, CURRENT OR COMPLETE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM PROCUREMENT BOUTIQUE OR THROUGH THE SITE WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

5. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROCUREMENT BOUTIQUE, ITS AFFILIATES, LICENSORS, SUPPLIERS, ADVERTISERS AND SPONSORS, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS (COLLECTIVELY, “PROCUREMENT BOUTIQUE PARTIES”) BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY OTHER DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER LOSSES, REGARDLESS OF LEGAL THEORY (INCLUDING CONTRACT, TORT, STRICT LIABILITY OR NEGLIGENCE), ARISING OUT OF OR IN CONNECTION WITH THE SITE, SITE CONTENT OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE PROCUREMENT BOUTIQUE PARTIES’ TOTAL LIABILITY TO YOU FOR ALL CLAIMS, DAMAGES OR LOSSES EXCEED AMD 50,000. THE FOREGOING LIMITATIONS OF LIABILITY SHALL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

6. Third Party Sites and Services
The Site may contain links to websites or services operated by third parties (each, a “Linked Site”). Procurement Boutique does not endorse any Linked Site or any products or services available on any Linked Site. Links to Linked Sites are provided solely for convenience, and your linking to a Linked Site does not imply Procurement Boutique’s endorsement or approval of the Linked Site, its content or its sponsoring organization, or any products, services, or materials available on or through the Linked Site. Your use of any Linked Site is entirely at your own risk. Procurement Boutique disclaims all liability arising from your use of any Linked Site or the content thereon.

7. Privacy
Procurement Boutique’s information collection and use practices with respect to the Site are governed by the Procurement Boutique Privacy Policy, as posted on the Site from time to time, and any applicable data protection laws of the Republic of Armenia, including the Law of the Republic of Armenia “On Protection of Personal Data.”

8. Termination
Procurement Boutique reserves the right at any time and from time to time to modify the Site, modify or discontinue temporarily or permanently the Site or any Site Content, and terminate your access to the Site, with or without notice and without liability to you or any third party.

9. Governing Law and Jurisdiction
These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the Republic of Armenia, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the courts of the Republic of Armenia.

10. Miscellaneous
These Terms constitute the entire agreement between you and Procurement Boutique governing your use of the Site. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Procurement Boutique’s performance is subject to existing laws and legal process, and nothing contained in these Terms limits Procurement Boutique’s right to comply with law enforcement, governmental or court orders or requirements related to your use of the Site or information provided to or gathered by Procurement Boutique with respect to such use. You may not assign any rights or obligations under these Terms. Nothing in these Terms creates any agency, employment, trust, partnership or joint venture between you and Procurement Boutique. The failure of Procurement Boutique to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
